We will assist companies in raising capital. In most engagements we assist the company in structuring an offering, recommend pricing of its securities, and advice on the method of distribution. We register the offering with the SEC and prepare the prospectus. We usually recruit the brokers or placement agents, prepare broker due diligence packages and develop investor materials. We bring in market makers to trade the companies stock, manage press releases, and guide management with investor relations. Because we are not a broker, we cannot sell shares or receive a commission on the sale of shares.
